EU Proposal on Small Mid-Caps (SMCs): Regulatory Easing and GDPR Update

The European Commission has proposed a new category for Small Mid-Caps (SMCs)—mid-sized companies that previously did not qualify for SME exemptions. An SMC is defined as a company with fewer than 750 employees and either up to €150 million in turnover or up to €129 million in assets. Approximately 38,000 companies in the EU may qualify.

Key Benefits for SMCs:

  • Access to existing SME regulatory exemptions, such as simplified obligations under the GDPR.

  • Simplified listing requirements, making it easier and cheaper to access capital markets.

The Commission also proposes a GDPR revision to Article 30(5), raising the employee threshold for maintaining Records of Processing Activities (RoPA) from 250 to 750 employees, unless the data processing poses a high risk to individual rights.

The goal is to reduce compliance burdens and support innovation for mid-sized businesses.
